1 BASIC ACTIVITY
1.1 This procedure defines and details the function, reporting relationships,
authority, responsibilities, duties, and measurements of performance for the
position of President and CEO of MyCompanyName
2 FUNCTION
2.1 The President and CEO provides the leadership, planning, organization,
direction, coordination necessary to sustain the company’s growth and to
complete his agenda within the framework of the long term goals and plans of
MyCompanyName.
2.2 The President and CEO will seek new opportunities for the company to expand
the sales of current product to the existing profitable customers and to add new
customers and new product lines.
2.3 The President and CEO will oversee and direct all aspects of the business,
concentrating on Banking, Legal, and Financial concerns and the public image of
MyCompanyName.
3 REPORTING RELATIONSHIPS
3.1 The President and CEO reports to and is solely accountable to Ownership.
3.2 The following positions report to the President and CEO:
3.2.1 Bookkeeper
3.2.2 Sales Manager
3.2.3 Warehouse Manager
3.2.4 Service Coordinator
4 AUTHORITY
4.1 The President and CEO has the authority to hire, fire, and change the
compensation and/or duties, or, to promote, and demote employees
4.2 Has the authority to make purchases of equipment, material, operating
supplies and professional services as provided in the company budget.
4.3 Has the authority to set and change pricing policies, in accordance with
established company policy.
4.4 Has the authority to develop and implement normal operating policies and
procedures.
4.5 Has the authority to make capital expenditures, debt investment and
assignment of company assets, provided these actions fall within established
company policy.
4.6 Has the authority to negotiate and accept contracts and service agreements
on behalf of MyCompanyName.
5 RESPONSIBILITIES.
5.1 Establishing corporate goals and objectives. Currently the company plans to
grow to $25 million dollars total revenues by 2013, and to achieve a minimum net
profit percentage of 5% of those revenues.
5.2 Preparing and approving plans and budgets which meet the above goals and
objectives.
5.3 Organizing the company to enable it to implement the above plans.
5.4 Controlling the actions and activities of all company personnel to ensure
the implementation of the above plans.
5.5 Providing direction to all staff to achieve the above plans.
5.6 Ensuring the communication of all plans and directions to all personnel in
the company.
5.7 Establishing a structure of checks and balances which protects the company’s
assets and minimizes risk.
5.8
6 DUTIES.
6.1 The President and CEO performs the following planning duties.
6.1.1 Oversees preparation of the company long range plan, with personal
involvement in establishing objectives and strategies.
6.1.2 Coordinates preparation of the company budget and approves the final
version.
6.1.3 Annually review and update, as necessary, the corporate Mission, Vision,
and Operating Philosophy.
6.1.4 Quarterly review the corporate Succession Plan and the associated training
and development to insure compliance in each department.
6.1.5 Quarterly review and revise his personal job related objectives and
evaluate their achievement.
6.1.6 Coordinate the preparation, and approve the final version of the company
Marketing Plan.
6.2 The President and CEO performs the following organizing duties:
6.2.1 Supervise preparation of the company Functional Organization Chart and
approve the final version. Schedule and monitor annual reviews of the Chart to
insure its viability.
6.2.2 Review all Job Descriptions to insure currency and review by the
appropriate manager.
6.2.3 Review and approve all company policies and procedures to insure
compliance with the company Mission and objectives.
6.3 The President and CEO performs the following controlling duties:
6.3.1 Review and approve all reports on asset utilization to insure compliance
with the company policy of optimum utilization.
6.3.2 Review and approve all management reports with respect to compliance to
all applicable laws, rules and regulations.
6.3.3 Review and approve all quality and productivity standards as prepared by
the Department Heads. Periodically review the documentation of the enforcement
of these standards in all departments.
6.3.4 Periodically review the cost and competition factors in the company
pricing practices to insure profitability in all bidding.
6.4 The President and CEO performs the following directing duties:
6.4.1 Review and approve all operating reports from Department Heads to insure
compliance with established company policy and objectives.
6.4.2 Select the Industry Associations in which the company will participate and
appoint the appropriate personnel to represent the firm.
6.4.3 Review and approve the reports of Department Heads on new and/or
innovative techniques in the industry. Regularly review selected sources for
similar information.
6.5 The President and CEO performs the following communication duties:
6.5.1 Chair periodic meetings for all management personnel to disseminate
information and solicit feedback regarding current and future company
operations. Ensure the Management Advisory Committee meets as often as
necessary.
6.5.2 Personally review and approve all written communication of company policy
and procedures to insure its appropriateness and delivery.
6.5.3 Personally interview at least one customer each month to determine their
level of satisfaction with our service.
6.6 The President and CEO performs the following motivation duties:
6.6.1 Personally inspect the work environment to insure it is free from
distractions and/or hazards that would restrict the ability of the employees to
perform. Effect the correction of any such deficiencies and take the necessary
steps to insure their elimination.
6.6.2 Review and approve all management performance evaluations with special
note to employees’ performance that is consistently above standard.
6.6.3 Personally evaluate and review the performance of all management personnel
in a direct reporting relationship. Participate in their goal setting process as
a supervisor and a mentor.
6.7 The President and CEO performs other duties as necessary or as directed by
Ownership.
7 JOB REQUIREMENTS
7.1.1 To perform this job successfully, an individual must be able to complete
all areas outlined for this position in a satisfactory manner. Listed below are
representative of the knowledge, skills, and/or abilities necessary to meet the

7.2 EDUCATION
7.2.1 Required: Two year college diploma in Business or experience equivalent.
7.2.2 Preferred: Professional designation, or four year college degree in
business, engineering, accounting, or related field.

7.4 EXPERIENCE
7.4.1 Required: One or more years of experience as a President/ General Manager
in a Produce Sales oriented business with sales in excess of $ 5,000,000 per
year.
7.4.2 Preferred: Five or more years of experience as a President/ General
Manager in a Produce Sales oriented business with sales in excess of
$10,000,000.
7.5 SKILLS, KNOWLEDGE, AND ABILITIES
7.5.1 Ability to guide, direct, and coordinate a department with five or more
employees.
7.5.2 Demonstrated ability to effectively run a department in an efficient
manner.
7.5.3 Ability to read, analyze, and interpret financial reports.
7.5.4 Ability to respond to common inquiries or complaints from customers,
regulatory agencies, or members of the business community.
7.5.5 Excellent knowledge of the industry and trends impacting the business.
7.5.6 Ability to effectively communicate, in English, both verbally and in
writing.
7.5.7 Public speaking experience.
7.5.8 Must be a dynamic individual with the ability and skills to represent the
company and as an “Evangelist” of the capabilities and future prospects of
MyCompanyName.
7.6 PHYSICAL
7.6.1 The physical demands described here are representative of those that must
be met by the employee to successfully perform the essential functions of this
job.
7.6.2 BODY POSITIONS: While performing the duties of this job, the employee is
regularly required to sit for prolonged periods of time.
7.6.3 BODY MOVEMENTS: The employee must have a full range of body movements
including use of hands to finger, handle, or feel objects, computer equipment
and peripherals; and bending, reaching, and crouching.
7.6.4 BODY SENSES: Must have command of all senses, sight, hearing, touch, and
smell. Specific vision abilities required include close vision, depth
perception, and the ability to adjust focus. These vision requirements in each
area must be sufficient to shift in focus from computer screens to close forms.
7.6.5 STRENGTH: Must have the ability to lift 20 pounds with regularity.
7.7 WORKING CONDITIONS
7.7.1 This position will be working primarily indoors in a climate controlled,
smoke free office environment, but also requires the employee to be in the
outdoors on an infrequent basis. From this movement, the employee will encounter
varying temperatures. The normal auto and air travel hazards will apply. The
noise level in the work environment is usually low, but can be higher in the
outdoors. This is a highly visible position and the job requires that the
company remains in the forefront of the industry.
8 MEASUREMENTS OF PERFORMANCE
9 The President and CEO is deemed to be performing in a satisfactory manner when
the following is accomplished:
9.1 Profit: Year-to-date and annual Net Operating Profit objectives are met
within a variance of 5% of the predetermined objective. The current profit
objective is 4% of Sales.
9.2 Sales Volume: Meets or exceeds the annual sales objective within a variance
of 5% of the predetermined objective. The current Sales Volume objective is $15
million ($1,250,000 per month.)
9.3 Expense Control: Operates within the established company budget within a
variance of 5%. The current gross margin objective is 18 % with overheads
limited to $100,000 per month.
9.4 Goals and Objectives: Goals and Objectives for short and long term planning
are established and implemented and then reviewed at least once each twelve
months and, monitored at least quarterly for all management personnel.
9.5 Management Succession: A comprehensive Management Succession Policy is
developed and implemented and updated at least once each year.
9.6 Corporate Policies: All Corporate Policies are established and implemented
and then reviewed and updated at least once each year. All corporate policies
are in writing and in the form of Standard Procedures which are updated as
needed or at least annually.
9.7 Personnel:
9.7.1 All personnel reporting to him have a current (within the last 12 months)
performance analysis in which the overall rating is satisfactory or better; and
contain an ACTION PLAN for performance improvement ; AND
9.7.2 All major employee grievances brought to his attention have been resolved
or are in the process of being resolved; AND
9.7.3 All compensation and benefit policies and practices of MyCompanyName have
been reviewed at least once during the preceding twelve months and the President
and CEO’s findings reviewed by competent counsel; AND
9.7.4 All key employee job descriptions have been reviewed and updated by the
President and CEO at least once during the past twelve months. The President and
CEO will review his own job description and make any necessary changes or
modifications.
9.7.5 Turnover in key positions has been minimized.
9.8 Communications:
9.8.1 Periodic meetings for management personnel have been scheduled and held on
a regular basis; AND
9.8.2 At least two semi-annual general employee meetings have been scheduled and
held during the previous twelve months. This meeting should include all
employees of MyCompanyName where possible.
9.8.3 All instructions are given in a clear manner and understood by the
reporting employees.
9.8.4 Has the ability to leave the day to day functions and responsibilities to
the backup COO and the company continues to function without his daily input
when the President is absent.
9.9 Other:
9.9.1 All major customer/contractor complaints have been resolved or are in the
process of being resolved.
